Terms of Service
These Terms of Service ("Terms") govern your access to and use of Clarpa ("Service"), operated by Clarpa. By creating an account or using the Service, you agree to these Terms.
1. The Service
Clarpa is a web application that helps freelancers and professionals turn client messages into structured project briefs and obtain client approval through shareable links. The Service uses artificial intelligence to assist with content generation. AI output is provided as a starting point only and is not legal, financial, or professional advice.
2. Eligibility
You must be at least 16 years old and capable of entering into a binding agreement to use Clarpa. By using the Service, you represent that you meet these requirements.
3. Your account
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity under your account.
- You must provide accurate information when registering.
- Authentication is provided through third-party services (e.g. Clerk, Google). Their terms also apply to your use of those sign-in methods.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law
- Upload content that infringes intellectual property or privacy rights of others
- Upload malicious code, spam, or content that is abusive, harassing, or discriminatory
- Attempt to gain unauthorized access to the Service or other users' data
- Reverse engineer, scrape, or overload the Service without permission
- Use the Service to process special categories of personal data (e.g. health, biometric) unless you have a lawful basis and appropriate safeguards
5. Your content
You retain ownership of the content you submit to Clarpa, including client messages and briefs ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to host, process, display, and transmit that content solely to provide and improve the Service — including sending it to AI providers for brief generation and sharing it via approval links you create.
You represent that you have the right to submit User Content and that doing so does not violate any third-party rights or agreements (including confidentiality obligations to your clients). You are solely responsible for what you upload and share.
6. AI-generated content
Briefs and related outputs are generated by AI and may contain errors, omissions, or inappropriate suggestions. You must review all AI output before sending it to clients or using it in contracts or project work. Clarpa does not guarantee the accuracy, completeness, or legal enforceability of any generated content.
7. Client approval links
When you generate a public approval link, anyone with that link can view the associated brief. You are responsible for sharing links only with intended recipients. Clarpa is not responsible for unauthorized access resulting from link sharing by you or your clients.
8. Fees and plans
Clarpa may offer free and paid plans. Pricing, features, and limits will be described on the website or in your account. We may change pricing with reasonable notice. Continued use after a price change constitutes acceptance unless otherwise stated.
9. Intellectual property
The Clarpa name, logo, website design, software, and documentation are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or brand assets except as needed to use the Service.
10. Third-party services
The Service integrates with third-party providers (authentication, hosting, database, AI, email). Your use of those integrations may be subject to their terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
11. Availability and changes
We strive to keep Clarpa available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with or without notice. We may update these Terms; continued use after changes constitutes acceptance. Material changes will be communicated where appropriate.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ends. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive.
13. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLARPA AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) EUR 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer rights under EU law where applicable.
15. Indemnification
You agree to indemnify and hold harmless Clarpa from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.
16. Governing law and disputes
These Terms are governed by applicable law in the European Union, without regard to conflict-of-law principles. Disputes shall be resolved in good faith; where required by mandatory consumer protection rules, you may have rights to bring claims in your country of residence within the EEA.
17. Privacy
Our processing of personal data is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood it.
